TERMS & CONDITIONS OF SALE

Building Plastics (Wales) Ltd

These Terms & Conditions apply to all quotations, orders, sales, deliveries and supplies of goods by Building Plastics (Wales) Ltd (“the Company”).

By placing an order with the Company, the customer agrees to be bound by these Terms & Conditions.

1. DEFINITIONS

“Company” means Building Plastics (Wales) Ltd.

“Customer” means the purchaser of goods supplied by the Company.

“Goods” means all products, materials, services, made-to-measure items and associated products supplied by the Company.

“Bespoke Goods” means goods manufactured, processed or supplied to customer specific sizes, colours, specifications or requirements.

2. QUOTATIONS

2.1 All quotations are valid for 30 days unless otherwise stated.

2.2 Quotations are subject to material availability and may be withdrawn or amended without notice before order acceptance.

2.3 Prices quoted are exclusive of VAT unless otherwise stated.

2.4 Any estimated lead times are approximate only and may vary depending on supplier schedules, manufacturing times and material availability.

3. ORDERS

3.1 Orders are only accepted once confirmed by the Company.

3.2 The customer is responsible for ensuring all specifications, measurements, quantities and product selections are correct before ordering.

3.3 Any drawings, sizes or specifications provided by the customer are accepted entirely at the customer’s risk.

3.4 Orders for bespoke or made-to-measure goods cannot normally be amended once manufacture has commenced.

3.5 The Company reserves the right to refuse or cancel orders at its discretion.

4. PRODUCT INFORMATION

4.1 Product images, colours and descriptions are intended as a guide only.

4.2 Variations in colour, finish, grain, texture or appearance may occur between batches and manufacturers.

4.3 Natural expansion, contraction, minor distortion and manufacturing tolerances are considered acceptable within industry standards.

4.4 The customer is responsible for ensuring products are suitable for their intended purpose and comply with all relevant building regulations and installation requirements.

5. PAYMENTS

5.1 General Payment Terms

All payments must be made in full and cleared before delivery, collection or installation unless a credit account facility has been agreed in writing.

The Company reserves the right to withhold manufacture, delivery, collection or installation until cleared funds have been received.

Trade credit accounts may be offered subject to status and ongoing account review.

5.2 Deposits for Non-Account Customers

Customers without an approved credit account facility must pay a minimum 50% deposit when placing any bespoke or made-to-measure order.

This includes, but is not limited to:

• uPVC windows

• uPVC doors

• Composite doors

• Aluminium products

• Conservatories

• Roof lanterns

• Glass units

• Coloured products

• Any custom manufactured goods

Orders will not be processed or released into manufacture until the required deposit has been received and cleared.

The remaining balance must be paid in full before delivery, collection or installation unless otherwise agreed in writing.

5.3 Credit Account Customers

Customers with approved credit facilities may order goods in accordance with their agreed account terms.

The Company reserves the right to:

• withdraw credit facilities,

• reduce credit limits,

• request deposits,

• suspend supply,

• or place accounts on stop

where payments become overdue or where order values are considered unusually high.

5.4 Non-Refundable Bespoke Orders

Bespoke and made-to-measure goods are manufactured specifically to customer supplied sizes and specifications.

Once manufacture has commenced:

• deposits become non-refundable,

• cancellations may not be accepted,

• and the customer may remain liable for the full order value.

Any amendments requested after order confirmation may incur additional costs and delays.

5.5 Late Payments

Late payments may be charged interest at 8% above the Bank of England Base Rate together with reasonable recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

The Company reserves the right to suspend ongoing orders, deliveries and account facilities until overdue balances are cleared.

5.6 Ownership of Goods

All goods remain the property of Building Plastics (Wales) Ltd until paid for in full.

6. DELIVERY & COLLECTION

6.1 Delivery dates are estimates only and are not guaranteed.

6.2 The Company shall not be liable for delays caused by manufacturers, suppliers, transport providers, weather, labour shortages or circumstances beyond its control.

6.3 Customers must inspect goods immediately upon delivery or collection.

6.4 Any shortages, damages or defects must be reported within 48 hours of delivery or collection.

6.5 Failed deliveries may incur additional delivery charges.

6.6 Risk in the goods passes to the customer upon delivery or collection.

7. RETURNS & CANCELLATIONS

7.1 Standard stock items may only be returned with prior agreement from the Company.

7.2 Returned goods may be subject to handling and restocking charges.

7.3 Bespoke, made-to-measure, special order or non-stock items are non-returnable and non-refundable unless faulty.

7.4 Goods must not be installed before inspection. Installed goods are deemed accepted unless a manufacturing defect exists.

8. WARRANTIES & LIABILITY

8.1 Manufacturer warranties apply where provided.

8.2 The Company’s liability is limited to replacement, repair or refund of defective goods at its discretion.

8.3 The Company shall not be liable for:

• consequential loss,

• loss of profit,

• labour costs,

• installation costs,

• delays,

• third-party claims,

• or indirect losses.

8.4 Customers must inspect goods prior to installation.

8.5 Claims relating to visible defects after installation may not be accepted.

9. INSTALLATION

9.1 Where installation services are supplied, the customer must provide safe and reasonable access.

9.2 The customer is responsible for ensuring site readiness before installation.

9.3 Additional works outside the agreed scope may incur additional charges.

10. FORCE MAJEURE

The Company shall not be liable for any delay or failure caused by events outside its reasonable control including but not limited to:

• supplier failure,

• manufacturing delays,

• transport disruption,

• weather,

• industrial disputes,

• utility failures,

• acts of God,

• pandemics,

• or government restrictions.

11. DATA PROTECTION

Customer information will only be used for order processing, administration and related business purposes in accordance with applicable UK data protection legislation.

12. GOVERNING LAW

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
